1. About these terms
In these terms, “we”, “us” and “our” mean Expensive Chiodo Ltd, a private limited company registered in England and Wales under company number 16882749, with its registered office at 82a James Carter Road, Mildenhall, United Kingdom, IP28 7DE. “You” means the business or person placing an order.
Our services are designed for businesses. If you order as a consumer, the additional rights described in our Cancellations and Refunds Policy apply, and nothing in these terms limits your statutory rights.
2. Services and packages
Each package page describes what is included, what is not included, what we need from you, the available tiers and an indicative timeline. That description, together with any written scope confirmation we send you, forms part of your contract.
Work outside a package is quoted in writing before it starts and is only carried out once you accept the quote.
3. How the contract is formed
When you place an order, you make an offer to buy the selected services. We review the order and confirm acceptance by email, normally within 2 business days. If a package does not fit your situation, we tell you and propose an alternative, or cancel the order at no charge.
The contract is formed when we send that confirmation. If you have already paid and we do not accept the order, we refund the full amount.
4. Prices and payment
- Prices are shown in euros (EUR) and exclude VAT. Where VAT or another tax applies to your order, it is added according to the rules applicable to you and shown on your invoice.
- Packages are paid in advance, by card at checkout where available or by bank transfer against our invoice. Work is scheduled once payment has been received.
- Monthly plans are paid in advance for the number of months you order.
- Custom engagements are invoiced as agreed in writing. Unless agreed otherwise, invoices are payable within 30 days of the invoice date.
- Third-party costs — such as platform subscriptions, software licences, payment-provider fees, domain registrations and advertising spend — are not included and are paid by you directly to each provider, unless agreed otherwise in writing.
- If a payment is overdue, we may suspend work after giving you notice.
5. Delivery of the services
All services are delivered remotely. We propose a kickoff date within 5 business days of confirming your order and receiving payment. Timelines on package pages are indicative, start at kickoff and depend on you providing the access, information and approvals described for each package.
Business days are Monday to Friday, excluding public holidays in England and Wales. More detail is in our Service Delivery Policy.
6. Your responsibilities
- Provide accurate and complete information that we need to deliver the services.
- Give us timely access to the systems, accounts and resources the work requires.
- Reply to our questions and review requests promptly.
- Make sure you have the rights and permissions for any systems, content or data we work with on your behalf.
- Keep appropriate backups of your data.
- Share credentials only through the secure method we agree, never by email.
7. Changes to the scope
If you want to change the scope after ordering, tell us in writing. Changes that do not affect the price are accommodated where possible. Changes that add work are quoted and carried out only once you accept the quote.
8. Review, acceptance and aftercare
When we deliver a milestone or the final deliverables, you have 5 business days to review them and tell us about anything that does not match the agreed scope. We correct such defects at no extra cost.
Defects in work we delivered that appear within 14 days of final handover are also corrected at no extra cost.
9. Cancellations and refunds
Our Cancellations and Refunds Policy forms part of these terms. In summary: you can cancel before kickoff for a full refund; after kickoff, we refund the price of the work not yet performed; monthly plans can be stopped at the end of any paid month. Consumers also have a statutory right to cancel within 14 days, described in that policy.
10. Intellectual property
- Intellectual property rights in materials we create specifically for you transfer to you once you have paid in full.
- We keep the rights in our pre-existing materials, methods, templates and tools. Where they are part of your deliverables, you receive a non-exclusive, perpetual licence to use them as part of those deliverables.
- Third-party software, themes, fonts and content remain subject to their own licences.
- We only name you as a client or describe the work publicly with your written consent.
11. Confidentiality
We treat all information you provide to us as confidential and do not disclose it to third parties without your consent, except where required by law or where necessary to provide the services. We are happy to sign your non-disclosure agreement in addition to these terms.
12. Data protection
We process personal data as described in our Privacy Policy. Where a service requires us to process personal data on your behalf — for example, when we work in your store or customer database — we act only on your documented instructions and will sign a data processing agreement with you.
13. Standard of service
We perform our services with reasonable care and skill. We do not guarantee that third-party platforms or services will be uninterrupted or error-free, and we do not promise specific business results such as rankings, traffic, approvals by third parties or sales, which depend on factors outside our control.
14. Limitation of liability
- Our total liability for any claim arising from our services is limited to the fees you paid for the specific service that gave rise to the claim.
- We are not liable for indirect or consequential loss, or for loss of profits, revenue, business or data.
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded by law.
- If you are a consumer, this section applies only to the extent permitted by the law that protects you.
15. Termination
Either party may end an engagement by written notice if the other commits a serious breach and does not remedy it within 14 days of being asked to. On termination, you pay for the services provided up to that date, any balance is refunded under our Cancellations and Refunds Policy, and we return or delete your confidential information as you request.
16. Events outside our control
Neither party is liable for a delay or failure caused by circumstances beyond its reasonable control, such as natural disasters, war, power failures or the failure of internet or third-party platforms. The affected party will tell the other promptly and do what it reasonably can to limit the effect.
17. Governing law and disputes
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring proceedings in your local courts.
18. Changes to these terms
We may update these terms from time to time. The version published when you place an order applies to that order.
